Legal Counsel II

As our Legal Counsel II, you will be responsible for overseeing and managing certain legal aspects of ARLANXEO’s business in NORAM, including Sarnia, Canada. You will safeguard ARLANXEO’s business, assets, and reputation by ensuring that the company follows applicable laws and give legal and strategic advice to management about all relevant issues. Next to this you assist the General Counsel - NORAM in developing and implementing company-wide initiatives under the responsibility of the legal function.
This role is based in our Pittsburgh Corporate office (US)
YOUR KEY TASKS AND RESPONSIBILITIES:
- Serves as Legal Counsel for ARLANXEO's operations in North America, including its Sarnia, Canada facility, and ensures effective fulfillment of legal and formal corporate governance, board, and compliance obligations.
- Keeps in close contact with regional Headquarters’ functions.
- Under the direction of the General Counsel – NORAM, provides accurate and timely legal advice to the business as necessary including advice regarding corporate law, commercial law, procurement, anti-trust, litigation, compliance, employment and labor law, regulatory, etc.
- Supports compliance with advice concerning all applicable laws and regulations.
- Provides counsel to certain business units and group functions of ARLANXEO's North American operations including drafting, reviewing, and negotiating contracts, and counselling on real estate, legislative affairs, environmental, and regulatory.
- Under supervision of the General Counsel – NORAM, directs and manages litigation involving ARLANXEO before courts, agencies, boards, commissions, or other administrative bodies in connection with all legal issues in the United States and Canada.
- Advises the business regarding internal governance policies and regularly monitors compliance with applicable laws and regulations.
- Develops and supports implementation of operating policies, practices and procedures and provides a thorough legal review to ensure ongoing legal compliance and consistency.
- Provides ongoing legal audit function to determine conformance with applicable laws and regulations. Takes action to develop or modify procedures as required.
- Participates as member of various cross functional teams.
WHO YOU ARE:
- Law Degree from accredited law school, member in good standing of bar, licensed to practice law (PA in-house license required for non-PA lawyers)
- 3-5 years experience
- In-depth knowledge of corporate law and procedures
- Experience in Compliance and contract review preferred
- Demonstrated ability to create legal defensive or proactive strategies
- Fluency in English, cross-cultural skills
- High degree of professional ethics and integrity
